1. Background to Establishment

In recent years, with the acceleration of business succession and business restructuring, the number of corporate M&As has been increasing, creating a growing need to improve the efficiency and sophistication of legal due diligence (“DD”). Legal DD requires a detailed examination and analysis of vast volumes of contracts and other documents based on advanced legal expertise. The workload is substantial and must often be completed within tight timeframes, posing a major challenge for parties engaged in M&A transactions, mainly law firms and investment funds.

In anticipation of a further increase in M&A cases, we are offering “AI Contract Analytics (Legal DD)” as an innovative solution to address these challenges. In addition, this new solution is being legally supervised by AMT, one of Japan’s largest law firms. AMT has verified the solution in its legal DD practice and has achieved measurable results, and going forward, it will continue to enhance the service by incorporating advances in generative AI and AMT’s legal knowledge.

2. Service Overview

”AI Contract Analytics (Legal DD),” uses AI supervised by AMT to extract and visualize various clauses (such as change of control and non-assignment) that require confirmation in legal DD by simply uploading contract data. In addition to extracting common fields, such as contracting parties and contract periods, AI can also determine the contract type and extract and list items that require individual confirmation specific to each contract type. The solution also includes a function to identify items that may constitute risks in M&As, and is expected to significantly transform conventional legal DD operations.

3. Overview of the LegalXross Platform

SMBC Legal X is deploying the “LegalXross” platform to seamlessly digitalize the entire contract process.
