  • Japanese and Cross-border work
We frequently act for clients engaging in major Japanese and cross-border projects, and our clients consist of both Japanese and overseas companies and agencies. We act for all parties involved in projects, including sponsors, project companies, commercial lenders, development banks, export credit agencies, international financial organizations, suppliers, purchasers, contractors, consortiums, and governments. We understand the different commercial requirements and objectives of all parties involved in a project, and we provide carefully tailored legal advice to each of our clients, whether they are sponsors, lenders, consortiums or export credit agencies.

We work closely with our clients throughout the entire duration of the project. We provide comprehensive and practical commercial legal advice on the successful structuring and implementation of major infrastructure projects in all sectors, including transport, telecommunications, water, electricity, oil and gas. As a testament to our cutting-edge legal advice and conceptualization of the most complex deals, we have been widely recognized for our recent work on Japanese prison and hospital projects.

At the same time, we are able to draw on the experience of our firm in important complementary areas, such as Japanese corporate law and regulation, tax effective structured financing, and capital markets, in order to provide our clients with a complete package. Combined with our in-depth knowledge of the Japanese market and our specific understanding of all major Japanese industries, we pride ourselves on the clear, comprehensive, commercial advice that we provide on each project.   • Equity Markets
Our extensive experience in Project Finance extends to Private Finance Initiatives (PFIs), which were first developed in the United Kingdom, and are a relatively recent, but increasingly important, development in Japanese commerce and society. Anderson Mori & Tomotsune is a pioneer in these transactions - our lawyers worked on the very first PFI in Japan, and we have since been involved in many of the major PFIs in Japan.

Our firm has in-depth experience acting on all sides of PFIs, and we have been involved at all stages from conception, structure, and construction, to management, completion, and termination. We also advise parties when litigation, remedies, or reorganization becomes necessary.

As well as regularly being hired by government entities to help structure PFIs, we also frequently act for other parties involved in initiatives, including private operators, lenders, contractors, and management. We are experienced in setting up Special Purpose Vehicles and assisting our private clients with successfully bidding for PFIs.

PFIs require a high degree of innovation, foresight, and commercial acumen, as they involve complex legal and commercial issues, such as risk allocation and management of the public interest.
