  • Debt Finance
Our banking and finance attorneys are specialized in advising on various types of Japanese and cross border syndicated lending (both secured and unsecured), asset sales and debt trading, private banking, corporate financing and refinancing, and public sector financing. We have broad experience in connection with cross-border financing, including the creation and perfection of security interests in many different types of collateral in multiple jurisdictions, such as taking security over assets (perfecting first priority security interests by way of pledges (shichiken) and security interests with first priority by way of mortgages (teitouken)). We also have extensive expertise with stock pledges and security interests over both tangible and intangible assets.

We assist clients in the securitization market (including asset originators, lead managers, credit enhancers, trustees and rating agencies) with developing innovative securitization techniques.

We have acted for a full range of parties involved in projects, including project sponsors, project companies, commercial lenders, development banks, export credit agencies, international financial organizations, suppliers, purchasers, contractors and governments.
  • Regulatory and Restructuring
We advise on regulatory issues in the course of Japanese and cross-border financial transactions, and our banking and finance attorneys monitor and advise financial institutions and corporate entities with respect to all aspects of banking and finance and other regulatory and commercial issues. We regularly advise clients regarding the most advantageous means to structure transactions or new products and services in order to satisfy applicable banking and other financial regulations.

In addition, we have played a significant role in the restructuring of a number of major groups with multi-jurisdictional businesses, and have assisted clients in addressing the challenges presented by multi-creditor and/or multi-jurisdictional restructuring operations in private sector and sovereign restructurings and reschedulings.
  • Real Estate Finance / REITS
Japan has seen an increased popularity in real estate financing deals due to the financial burdens facing many restructuring Japanese corporations needing to sell non-essential assets, and also the introduction of asset impairment accounting policies for real estate in Japanese GAAP. Our banking and finance attorneys have the real estate, finance, and tax experience needed to structure complex transactions and regularly advise investment banks, REITS, sophisticated investors and developers.
