Banking is one of the practice areas where Anderson Mori & Tomotsune has consistently received acclaim from clients and peers. Our banking practice handles a wide variety of financing and lending transactions ranging from conventional bank lending to syndicated structured financings and regulatory advice. We advise on corporate and syndicated loans, secured transactions, asset finance, factoring, structured finance, acquisition finance, and DIP finance. We proactively represent our clients in all stages of the financing life-cycle, from structuring and term sheet origination and negotiation to documentation and closing, and, when necessary, to the enforcement of remedies or procedures and agreements for restructuring and reorganization. We have a diverse client base comprised of global financial institutions, including leading investment and commercial banks, private equity funds, corporations, governmental and quasi-governmental agencies and institutional investors from the Americas, Europe and Asia. We also provide regulatory advice to our banking clients ranging from operational and compliance matters to branch office establishment and new financial product development.
- Cross-border Transactions
Since the inception of our Firm, we have been continually engaged in advising global financial institutions in connection with their financing and lending activities in Japan. Given the cross-border nature of our banking practice, over the years we have developed excellent working relationships with all of the leading corporate law firms in the US, Europe and Asia either acting as co-counsel on complex matters or independently as appropriate.
Recently, as in other jurisdictions, banking transactions and business activities in Japan have become subject to increased and often complex regulation. The lawyers in our banking practice are extremely knowledgeable about the evolving nature of financial regulation in Japan and have considerable experience advising global financial institutions on bank regulatory matters and on their relationship with banking regulators in Japan. Our strength in providing bank regulatory advice derives in part from close collaboration with lawyers in our broader regulatory practice. Please see "
Financial Regulation" for more details.
Our banking practice group operates on an integrated basis with other members of AM&T's larger finance practice. Drawing from this expertise, we advise our global banking clients on all aspects of complex financing and lending transactions in Japan, including derivatives and structured finance, acquisition finance and project finance. Some of the complex transactions that we have advised on which demonstrate our diverse expertise include the project financing for the Tokyo International Airport (Haneda), the first DIP finance transaction in Japan, and non-recourse financing for the acquisition of properties in Tokyo using a Shariah compliant structure.
